Plain English Summary
You're free to download and use Good Minutes for personal or business use. The free tier is free forever — there's no trick. If you subscribe to Pro, it's a recurring monthly or annual subscription that you can cancel anytime, and we offer a 14-day money-back guarantee. We don't promise the software is bug-free, but we promise to fix things when they break. If you don't like our terms, don't install the app — that's the only way you accept them.

1. About these terms
These Terms of Service ("Terms") are a legal agreement between you ("you") and DataChefABN 98 121 229 168 ("DataChef," "we," "us"). They govern your use of the Good Minutes desktop application (Windows and macOS) and the goodminutes.com website (collectively, the "Service").
By downloading, installing, or using Good Minutes, you agree to these Terms. If you don't agree, don't use the Service.
These Terms are governed by the laws of Queensland, Australia.
2. Who can use Good Minutes
You must be at least 16 years old, capable of forming a legally binding contract under Australian law, and not prohibited from using the Service under any applicable law. By using Good Minutes you confirm all of the above are true.
3. Licence grant — free tier
Good Minutes Free is provided to you under a worldwide, royalty-free, non-exclusive, non-transferable, revocable licence to:
- Install Good Minutes on any number of personal devices you own or control
- Use Good Minutes for any lawful purpose, including commercial use in your business
- Use the free-tier features for as long as you want, with no time limit
The free tier is free forever. We do not reserve the right to start charging existing users for features that were free at the time they installed. If we change the free tier in the future, the change will apply only to new installs from that point forward — existing users keep what they have.
4. Licence grant — Good Minutes Pro
If you subscribe to Good Minutes Pro, the same licence as section 3 applies, plus a licence to use the Pro features for the duration of your active subscription.
Good Minutes Pro is a recurring subscription. By subscribing, you authorise our merchant of record (Lemon Squeezy) to charge your payment method automatically at the start of each billing period (monthly or annually, depending on the plan you chose) until you cancel.
Pro pricing (AUD):
- Monthly: AUD $19/month, billed every month
- Annual: AUD $182/year, billed every 12 months (effectively AUD $15.17/month — save 20%)
All prices are in Australian Dollars and exclude GST. GST will be added at checkout if applicable. Prices may be adjusted with at least 30 days' notice. Existing subscriptions are honoured at their current price until renewal.
5. The Pro trial
New users may activate a 14-day Good Minutes Pro trial on first install. The trial:
- Is free and does not require a credit card upfront
- Unlocks all Pro features for 14 days from first activation
- Automatically downgrades to the free tier at the end of the 14 days unless you choose to subscribe
- Is available once per user
This is a "reverse trial" — you start with everything, you keep what you actually use. You will not be charged at the end of the trial.
6. Cancellation
You can cancel your Good Minutes Pro subscription at any time, for any reason, from your Lemon Squeezy customer portal (the link is in every billing email we send you) or by emailing support@datachef.zendesk.com.
When you cancel:
- Your Pro features remain active until the end of the current billing period
- You will not be charged again
- Your account automatically reverts to the free tier
- All your data — projects, time entries, history — remains yours and stays in your local database
There is no penalty for cancelling. There are no "retention offers." We won't try to talk you out of it.
7. What Good Minutes does and does not do
Good Minutes is a desktop time-tracking tool. It reads window titles, classifies activity with on-device AI, and helps you produce billable time entries. It is not:
- A legal practice management platform (that's our other product, MatterX)
- An accounting system (we integrate with Xero for that)
- A surveillance tool for monitoring employees without their knowledge or consent
- A payroll, invoicing, or tax compliance system
You are responsible for ensuring you have the legal right to track activity on any device you install Good Minutes on. If you install it on a device you do not own or control (e.g. an employer-issued laptop), you must have permission. If you use Good Minutes to track other people's activity (e.g. employees), you must comply with all applicable workplace surveillance laws in your jurisdiction.
8. Acceptable use
You may not:
- Use Good Minutes to track people without their knowledge or consent in violation of any law
- Reverse engineer, decompile, or disassemble the application except to the extent permitted by Australian copyright law
- Resell, sublicence, or redistribute Good Minutes or any portion of it without our written permission
- Use Good Minutes to violate any law or regulation
- Attempt to circumvent the licensing system to use Pro features without an active subscription
- Use Good Minutes in a way that interferes with or disrupts our infrastructure or other users
We reserve the right to terminate your licence and cancel your subscription if you violate these acceptable use terms. In serious cases (e.g. fraud, illegal use, abuse of staff) we may report you to the relevant authorities.
9. Refund policy
14-day money-back guarantee.
If you are not satisfied with Good Minutes Pro for any reason, you may request a full refund of your most recent payment within 14 days of that payment. To request a refund:
- Email support@datachef.zendesk.com with the subject "Refund request" within 14 days of the charge
- Include the email address you used at purchase
- Briefly tell us why (you don't have to — we ask only because the feedback helps us improve)
We will:
- Confirm receipt within one business day
- Process the refund within five business days via our merchant of record, Lemon Squeezy
- Cancel your subscription so you are not charged again
- Restore your account to the free tier (your data is preserved)
Refunds beyond 14 days. We do not guarantee refunds beyond the 14-day window, but we will consider exceptional cases at our discretion (for example, if a critical bug we shipped prevented you from using the product). Email us and explain — we are reasonable.
Annual subscriptions. If you cancel an annual subscription within the first 14 days, we refund the full amount. After 14 days, the subscription remains active until the end of the annual term, but we will not bill you again unless you re-subscribe.
No refunds for partially used periods. Outside the 14-day window, we do not pro-rata refunds for unused portions of a billing period.
Lemon Squeezy as merchant of record. All payments and refunds are processed by Lemon Squeezy LLC, who handles billing, tax compliance, and chargebacks on our behalf. By subscribing to Good Minutes Pro, you also agree to Lemon Squeezy's terms of service at https://www.lemonsqueezy.com/legal.
10. Updates and changes to the software
We may release updates to Good Minutes from time to time. Updates may add features, fix bugs, change behaviour, or remove features that aren't working. We will not remove a feature that was advertised as part of the free tier without honouring it for existing free users.
We are not obligated to provide updates indefinitely, but we will not deliberately break the version of the software you currently have installed.
11. Third-party integrations
Good Minutes integrates with third-party services including Xero and MatterX. These integrations are provided as a convenience. We are not responsible for the availability, functionality, or terms of those third-party services. If a third-party service changes its API or terms in a way that breaks our integration, we will do our best to fix it but cannot guarantee uninterrupted compatibility.
12. Warranty disclaimer
To the maximum extent permitted by law, Good Minutes is provided "as is" and "as available" without warranties of any kind, express or implied, including (without limitation) warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
We do not warrant that:
- The Service will be uninterrupted, error-free, or completely secure
- The Service will meet your specific requirements
- The results obtained from the Service will be accurate or reliable
- Any defects will be corrected
Your statutory rights under the Australian Consumer Law. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy that you have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be lawfully excluded.
13. Limitation of liability
To the maximum extent permitted by law, DataChef, its directors, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or exemplary damages — including but not limited to lost profits, lost revenue, lost data, business interruption, or loss of goodwill — arising out of or in connection with your use of the Service.
Where liability cannot be excluded, our total cumulative liability to you for any cause whatsoever is limited to the greater of (a) the amount you paid us in the 12 months preceding the event giving rise to the liability, or (b) AUD $100.
This limitation does not apply to liability for death or personal injury caused by our negligence, liability for fraud or fraudulent misrepresentation, or any liability that cannot be excluded or limited under Australian law.
14. Indemnification
You agree to indemnify and hold harmless DataChef from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from your misuse of the Service, your violation of these Terms, or your violation of any third party's rights.
15. Termination
These Terms remain in effect until terminated. You may terminate at any time by uninstalling Good Minutes and (if you are a Pro subscriber) cancelling your subscription. We may terminate your access to the Service if you materially breach these Terms, upon written notice (email is sufficient).
On termination:
- Your licence to use Good Minutes ends
- Your local data remains on your machine and is not affected by termination
- Sections 9 (Refund Policy), 12 (Warranty), 13 (Limitation of Liability), 14 (Indemnification), 16 (Governing Law), and any other section that by its nature should survive, will survive termination
16. Governing law and dispute resolution
These Terms are governed by the laws of Queensland, Australia. Any dispute arising from or relating to these Terms or the Service will be resolved in the courts of Queensland, Australia, and you submit to the exclusive jurisdiction of those courts.
Before commencing any legal proceedings, both parties agree to attempt to resolve the dispute in good faith by direct negotiation. Email support@datachef.zendesk.com to start the conversation — we'd much rather sort it out than litigate.
17. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced by email to Pro subscribers and by an updated "Last updated" date at the top of this page. Continued use of the Service after the update constitutes acceptance of the new Terms. If you do not accept the new Terms, you must stop using the Service.
18. Miscellaneous
- Entire agreement. These Terms (together with the Privacy Policy) are the entire agreement between you and us regarding the Service and supersede any prior agreements.
- No waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
- Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions remain in effect.
- Assignment. You may not assign these Terms without our written consent. We may assign these Terms to a successor entity (e.g. in the event of a merger or acquisition).
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control (natural disasters, war, internet outages, etc.).
