Plain English summary: Good Minutes is a desktop app you install on your computer. The Free tier is genuinely free — no strings, no time limit. Pro and Cloud Connect are paid subscriptions billed through Lemon Squeezy, our merchant of record. Founding Member and Founding Practice are one-time lifetime purchases.

We offer a 14-day free trial for Pro. If you forget to cancel before the trial ends, you can request a full refund within 14 days of the first charge. Founding Member purchases are refundable within 30 days if you haven't used Pro features.

Your data stays on your machine. We don't have access to it. We're an Australian company and these terms are governed by Queensland law. If you're in Australia, your consumer-guarantee rights under the ACL are preserved.

1. About these terms

These Terms of Service ("Terms") are a legal agreement between you and DataChef Pty Ltd ATF DataChef Trust, ABN 98 121 229 168, Gold Coast, Queensland, Australia ("DataChef", "we", "us", or "our").

These Terms govern your use of the Good Minutes desktop application, the Good Minutes website at goodminutes.app, and any related services including Cloud Connect integrations.

By downloading, installing, or using Good Minutes, you agree to be bound by these Terms. If you do not agree, do not use the software.

2. Who can use Good Minutes

You must be at least 18 years old (or the age of majority in your jurisdiction) to use Good Minutes. If you are using Good Minutes on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

Good Minutes is designed for professionals who need to track time, manage contacts, and generate invoices. It is not intended for use by children.

3. End User Licence Agreement

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to download, install, and use Good Minutes on devices you own or control, for your personal or internal business purposes.

You may not: (a) copy, modify, or distribute the software; (b) reverse engineer, decompile, or disassemble the software except as permitted by law; (c) rent, lease, lend, sell, or sublicense the software; (d) remove or alter any proprietary notices; or (e) use the software to build a competing product.

The software and all intellectual property rights remain the property of DataChef. These Terms do not grant you any rights to our trademarks, logos, or brand features.

4. Tiers and pricing

4.1 Good Minutes Free

The Free tier is a fully functional desktop application with no time limit. It includes manual timers, passive activity capture, the three-layer classifier (rules + local AI + optional cloud LLM), and basic time-entry management. Free does not include invoicing, CRM features, or Cloud Connect integrations.

4.2 Good Minutes Pro

Pro is a paid subscription that unlocks: invoicing with PDF and LEDES export; contacts and CRM; MCP agent access (Model Context Protocol for AI assistants); advanced reporting; and 30-day signal history. Pro is billed monthly at $10 USD or annually at $79 USD (equivalent to $6.58/month).

4.3 Cloud Connect

Cloud Connect is an optional add-on for Pro subscribers. It enables integrations with third-party services including Xero, Microsoft 365, and MatterX. Cloud Connect is billed at $5 USD/month. Cloud Connect requires an active Pro subscription.

4.4 Founding Member

Founding Member is a one-time purchase of $65 USD that grants lifetime Pro access for one user. Founding Member includes all current and future Pro features for 24 months from purchase, after which we may introduce new premium tiers that require separate purchase. Cloud Connect is not included.

4.5 Founding Practice

Founding Practice is a one-time purchase of $165 USD that grants lifetime Pro access for up to three users. Same terms as Founding Member, with three licence seats.

5. The Pro trial

We offer a 14-day free trial of Pro. During the trial, you have full access to all Pro features. You must provide payment details to start the trial.

If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription and you will be charged the applicable fee. You can cancel at any time during the trial without charge.

Trial eligibility is limited to one trial per person or organisation. We reserve the right to revoke trial access if we detect abuse.

6. Billing and payment

All payments are processed by Lemon Squeezy, our merchant of record. Lemon Squeezy handles all payment processing, invoicing, tax calculation, and compliance. When you purchase from us, you are contracting with Lemon Squeezy for the transaction.

Prices are displayed in USD. Your bank or card issuer may apply currency conversion fees. All prices exclude applicable taxes, which Lemon Squeezy will calculate and add at checkout based on your location.

Subscriptions renew automatically at the end of each billing period (monthly or annually) until cancelled. You authorise us to charge your payment method on file for renewal fees.

7. Cancellation

You may cancel your Pro or Cloud Connect subscription at any time through your Lemon Squeezy customer portal. Cancellation takes effect at the end of your current billing period — you retain access until then.

We do not offer prorated refunds for partial billing periods. See §10 (Refund policy) for details on when refunds are available.

8. What Good Minutes is and is not

Good Minutes is a desktop practice-management instrument for time tracking, contact management, and invoicing. It is designed for independent professionals including consultants, freelancers, and lawyers.

Good Minutes is not: accounting software (use Xero or similar); a trust-accounting system; legal practice management software with matter-centric workflows; a substitute for professional accounting, legal, or tax advice.

You are responsible for ensuring Good Minutes meets your regulatory and professional obligations. The AI classification features are assistive tools — you must review and approve all time entries and invoices before use.

9. Acceptable use

You agree not to: (a) use Good Minutes for any illegal purpose; (b) attempt to gain unauthorised access to our systems or other users' data; (c) interfere with or disrupt the software or services; (d) use automated means to access the software except through our published APIs; (e) circumvent licence restrictions or use the software on more devices than your licence permits.

Violation of these acceptable-use terms may result in termination of your licence without refund.

10. Refund policy

We want you to be satisfied with Good Minutes. Our refund policy balances flexibility with the need to prevent abuse.

10.1 Pro trial

The 14-day free trial is your risk-free evaluation period. No payment is taken during the trial. If you cancel before the trial ends, you will not be charged.

10.2 Consumer guarantees (Australia)

If you are an Australian consumer, you have statutory guarantees under the Australian Consumer Law (ACL) that cannot be excluded. Nothing in these Terms limits or excludes those guarantees. If Good Minutes fails to meet a consumer guarantee, you are entitled to the remedies set out in the ACL.

10.5 How to request a refund

Email support@datachef.zendesk.com with your order number and the reason for your request. We aim to process refunds within 5 business days. Refunds are issued to the original payment method via Lemon Squeezy.

11. Updates and changes to the software

We may release updates to Good Minutes from time to time. Updates may include bug fixes, new features, or changes to existing functionality. While we aim to maintain backward compatibility, we cannot guarantee that updates will not affect your workflows.

You are not obligated to install updates. However, older versions may not receive security patches and may eventually become incompatible with our licence-validation servers.

12. Third-party integrations

Cloud Connect enables integrations with third-party services including Xero, Microsoft 365, and MatterX. These integrations are provided "as is". We do not control third-party services and are not responsible for their availability, accuracy, or compliance with your regulatory requirements.

Your use of third-party services is governed by their terms of service and privacy policies. If a third-party service changes its API or terms in a way that breaks our integration, we will make reasonable efforts to restore functionality but cannot guarantee compatibility.

13. Warranty disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOOD MINUTES IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that Good Minutes will be error-free, uninterrupted, or free of harmful components. We do not warrant that AI classification features will be accurate or suitable for your professional obligations.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DATACHEF SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF GOOD MINUTES.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO GOOD MINUTES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) $100 AUD.

These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

15. Indemnification

You agree to indemnify, defend, and hold harmless DataChef and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of Good Minutes; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your data or content.

16. Termination

You may stop using Good Minutes at any time. If you have an active subscription, you should cancel it through the Lemon Squeezy customer portal to avoid future charges.

We may terminate or suspend your licence immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use Good Minutes ceases immediately.

Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.

17. Governing law and dispute resolution

These Terms are governed by the laws of Queensland, Australia, without regard to conflict-of-law principles. Any disputes arising from these Terms or your use of Good Minutes shall be resolved in the courts of Queensland, Australia, and you consent to the exclusive jurisdiction of those courts.

Before initiating formal proceedings, you agree to contact us at support@datachef.zendesk.com and attempt to resolve the dispute informally for at least 30 days.

18. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email (if you have provided one) or by posting a notice on our website at least 14 days before the changes take effect.

Your continued use of Good Minutes after the changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the software.

19. Miscellaneous

Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and DataChef regarding Good Minutes.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
